Effective Date: March 3, 2026 — Applies to all event venues and catering services operated by Urban Canvas LLC

1. Acceptance of Terms

By accessing or using any website owned or operated by Urban Canvas LLC d/b/a Culinary Canvas, by submitting an inquiry, or by opting in to receive text message communications from us, you agree to be bound by these Terms and Conditions (“Terms”). These Terms apply to all current and future websites, event venues, and catering services operated by Urban Canvas LLC. If you do not agree to these Terms, please do not use our websites or services.

These Terms constitute a legally binding agreement between you and Urban Canvas LLC (“Company,” “we,” “us,” or “our”), a Missouri limited liability company. Our portfolio of Venues may grow or change over time; these Terms apply to all Venues operated by Urban Canvas LLC regardless of whether a specific Venue is named herein.

2. Use of Our Websites

2.1 Permitted Use

Our websites are provided for the purpose of marketing our event venues and catering services and facilitating inquiries from prospective and current clients. You agree to use our websites only for lawful purposes and in a manner consistent with these Terms.

2.2 Prohibited Conduct

You agree not to:

  • Use our websites in any way that violates applicable law or regulation
  • Submit false or misleading information through any inquiry form
  • Attempt to gain unauthorized access to any portion of our websites
  • Use automated tools to scrape, harvest, or collect data from our websites
  • Interfere with the operation or security of our websites
  • Use our websites to transmit spam, unsolicited communications, or malicious content

3. SMS / Text Messaging Terms of Service

3.1 Program Description

Urban Canvas LLC d/b/a Culinary Canvas operates a text messaging program to communicate with clients and prospective clients across all of our Venues. By opting in, you agree to receive SMS and MMS messages from us on behalf of any or all of our current and future Venues. Message types include:

  • Event and appointment reminders
  • Lead follow-up and booking communications
  • Post-event surveys and feedback requests
  • Promotional offers and special announcements
  • General client communications related to your event or booking

3.2 Consent and Opt-In

By providing your mobile phone number and indicating your consent (by checking the opt-in box on a website form, responding to or initiating an inquiry through a third-party listing platform, texting a keyword to our number, or providing verbal consent during a consultation), you expressly consent to receiving the text messages described above. Your consent is not a condition of purchasing any services.

3.3 Opt-Out Instructions

You may cancel your SMS subscription at any time. To stop receiving messages:

  • Reply STOP to any message you receive from us
  • Contact us at the address or email provided in Section 9 of these Terms

To stop receiving messages, reply STOP to any message you received from us — your reply will be processed automatically. For help, reply HELP, call us at 314-455-7111, or email [email protected].

After sending STOP, you will receive one final confirmation message. No further messages will be sent unless you re-opt in. To re-subscribe, text START or contact us directly.

3.4 Message Frequency and Costs

Message frequency varies based on your inquiry status, event timeline, and the types of communications you have consented to receive. Message and data rates may apply. Contact your mobile carrier for details regarding your plan.

3.5 Supported Carriers

Our text messaging program is supported by most major U.S. mobile carriers. The program may not be available on all carriers. We are not responsible for any delays or failures in message delivery caused by your mobile carrier.

3.6 No Liability for Delivery Failures

Urban Canvas LLC is not responsible for any delays, failures in delivery, or other issues related to the transmission or receipt of text messages. Delivery of text messages is subject to effective transmission by your mobile carrier and is not guaranteed. By subscribing to our SMS services, you acknowledge and agree that Urban Canvas LLC will not be liable for any damages, losses, or injuries arising from or related to the use or failure to receive any text messages, including delays, non-delivery, or technical issues.

3.7 SMS Data Sharing Prohibition

We will not sell or share your mobile phone number or SMS opt-in data with any third party for marketing or promotional purposes. All text messaging originator opt-in data and consent information will not be shared with any third parties for any purpose. For full details, see our Privacy Policy.

3.8 A2P 10DLC Registration

Our text messaging program is registered and compliant with A2P 10DLC (Application-to-Person 10-digit Long Code) requirements established by U.S. mobile carriers. We are registered with The Campaign Registry (TCR) and operate in compliance with applicable carrier guidelines and the CTIA Messaging Principles and Best Practices.

4. Inquiry Forms and Lead Submission

When you submit an inquiry form on any of our websites, you consent to being contacted by Urban Canvas LLC and its affiliated Venues via phone, email, and text message (if you have provided your mobile number and opted in) in connection with your event inquiry. You agree that the information you submit is accurate and complete.

If your inquiry is received through a third-party listing platform, you acknowledge that those platforms have their own terms of service and privacy policies, and that your submission through those platforms constitutes consent for us to contact you regarding your inquiry.

5. Our Venues and Portfolio

Urban Canvas LLC operates a portfolio of event venues and catering services under the Culinary Canvas brand. All Venues — whether currently operating or added to our portfolio in the future — are operated under Urban Canvas LLC and subject to these Terms. A current list of our Venues is available at culinarycanvasstl.com. We may expand, rebrand, acquire, or discontinue Venues over time; these Terms apply to all such Venues during the period you use our services.

6. Event Management and CRM Data

By submitting an inquiry through any of our venue websites or through a third-party listing platform, you acknowledge and agree that your contact information, event details, and communication history will be stored in our event management and CRM platform for the purpose of managing your inquiry and booking, generating proposals and contracts, and supporting our internal reporting. We use one or more third-party platforms for this purpose; all such platforms process your data as service providers on our behalf and are not authorized to use your data for independent marketing. 7. Third-Party Advertising and Analytics

By using our websites, you acknowledge that we use tracking technologies from third-party advertising and analytics platforms (currently including Google, Meta/Facebook/Instagram, and TikTok, among others) to measure website interactions, track conversions, and optimize our advertising campaigns. When you submit a contact form, a conversion event is sent to these platforms. In some cases, a hashed version of your email or phone number may be transmitted to a platform’s server-side API for conversion matching. This data is used solely for our own advertising measurement and is not sold or shared with third parties for their independent marketing purposes.

8. Intellectual Property

All content on our websites — including text, images, logos, graphics, and design — is the property of Urban Canvas LLC or its licensors and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.

9. Disclaimer of Warranties

Our websites and services are provided “as is” without warranty of any kind, express or implied. We do not warrant that our websites will be uninterrupted, error-free, or free of viruses or other harmful components. We make no warranties regarding the accuracy or completeness of the content on our websites.

10. Limitation of Liability

To the fullest extent permitted by law, Urban Canvas LLC and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our websites or services, including damages arising from the failure to receive text messages or other communications. Our total liability to you for any claim shall not exceed the amount you have paid to us for services in the three (3) months preceding the claim.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved in a court of competent jurisdiction in St. Louis County, Missouri.

13. Changes to These Terms

These Terms are effective as of March 3, 2026. We reserve the right to modify these Terms at any time, including to reflect new Venues, platforms, or business practices. Changes will be posted on our websites with an updated effective date. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
